Part I — Website terms of use
By using this website (www.7seacorp.com) you agree to these terms. The content on this site is provided for general information about our services and is not professional or legal advice. We may update the site and these terms at any time; updates take effect when posted here with a new effective date.
Estimates are not binding offers. Figures produced by the quote estimator — and any rates shown on this site — are indicative estimates only. Services and pricing are confirmed exclusively in a written quote or services agreement issued by 7SeaCorp.
All content, branding, and design on this site belong to 7SeaCorp Logistics and may not be reproduced without permission. You agree not to scrape, disrupt, or interfere with the site’s operation. The site is provided “as is” without warranties of any kind, and links to third-party sites are provided for convenience only.
Part II — Warehouse terms & conditions of service
The following standard terms govern all warehousing, handling, prep, and related services provided by 7SeaCorp Logistics (the “Warehouse”) to its customer (the “Depositor”), and are incorporated by reference into our quotes, warehouse receipts, and invoices. If you have a signed services agreement with 7SeaCorp, its terms control to the extent they differ. These terms follow the standard framework for merchandise warehouses under California Commercial Code Division 7 (UCC Article 7).
1. Tender and acceptance of goods
The Warehouse may accept or refuse any goods tendered for storage or handling. The Depositor warrants that all goods are accurately described, lawfully owned or controlled by the Depositor, and properly packaged for storage and handling. The following are not accepted without the Warehouse’s prior written approval: hazardous or flammable materials, explosives, illegal goods, and perishable goods requiring temperature control.
2. Receipt of goods
Goods are received subject to verification of count and condition at the Warehouse’s dock. Any discrepancies between tendered and received goods are noted on the Warehouse’s receiving records, which are made available to the Depositor.
3. Charges and payment
Storage, handling, and other charges are per the Warehouse’s current rate schedule or the written quote issued to the Depositor. Invoices are due as stated on their face. The Warehouse may update its rates with thirty (30) days’ written notice.
4. Warehouse lien
The Warehouse claims a general and specific lien on all goods in its possession, as provided by California Commercial Code § 7209, for all unpaid charges relating to storage, handling, transportation, insurance, labor, and other charges in relation to the goods. The Warehouse may enforce its lien as permitted by law, including withholding delivery and selling goods.
5. Care of goods
The Warehouse shall exercise the care a reasonably careful person would exercise under like circumstances (California Commercial Code § 7204) and is not liable for loss or damage to goods that could not have been avoided by the exercise of such care — including loss arising from inherent vice, concealed damage, ordinary wear, insects or vermin brought in with the goods, or causes beyond the Warehouse’s control.
6. Limitation of liability
The Warehouse’s liability for loss of or damage to goods is limited to the least of:
- the actual value of the affected goods,
- the cost of repairing or replacing the affected goods,
- fifty (50) times the monthly storage charge applicable to the affected goods, or
- fifty cents ($0.50) per pound of the affected goods.
The Depositor may declare a higher value for specific goods in writing before storage begins and pay an increased charge, in which case the declared value becomes the limit of liability for those goods.
7. Insurance
Goods are not insured by the Warehouse against loss or damage, however caused. The Depositor is responsible for maintaining its own insurance covering its goods while in storage, handling, or transit.
8. No consequential damages
In no event is the Warehouse liable for indirect, special, incidental, or consequential damages of any kind — including lost profits or sales, loss of market, or marketplace fees, penalties, or chargebacks (such as those assessed by Amazon or other sales channels) — even if advised of their possibility.
9. Claims
Claims must be presented in writing within sixty (60) days after delivery or removal of the goods, or within sixty (60) days after the Depositor is notified that loss or damage has occurred, whichever is shorter. No action may be maintained against the Warehouse unless commenced within nine (9) months after delivery, removal, or such notice.
10. Transportation
When the Warehouse arranges trucking, drayage, or parcel shipping, it does so as the Depositor’s agent with third-party carriers. Transportation is governed by the carrier’s terms, tariffs, and liability rules (including released rates), not by these warehouse terms.
11. Termination and removal
Either party may terminate storage with thirty (30) days’ written notice. The Depositor shall remove its goods upon payment of all charges. Goods not removed after termination and notice may be disposed of as permitted by California lien law.
12. Indemnity
The Depositor shall indemnify and hold the Warehouse harmless from claims, losses, and expenses arising from the goods themselves or the Depositor’s breach of these terms — including misdescription of goods, inherent vice, infringement of intellectual-property rights, or the goods’ non-compliance with applicable laws and regulations.
13. Governing law and venue
These terms are governed by the laws of the State of California. Any dispute shall be brought exclusively in the state or federal courts located in Los Angeles County, California.
14. Miscellaneous
If any provision of these terms is held unenforceable, the remainder stays in effect. A failure to enforce any provision is not a waiver of it. Updates to these terms apply prospectively from the effective date posted on this page. Questions: customer@7seacorp.com.
